These Terms of Use ("Terms") govern your access to and use of rubinovglobal.com and any related pages, forms, and features that link to these Terms, including the invitation-only client intake at intake.rubinovglobal.com (together, the "Site"). The Site is operated by Rubinov Global LLC ("Rubinov Global," "we," "us," or "our"). In these Terms, the "Rubinov Global Parties" means Rubinov Global and its partners, members, managers, officers, employees, and agents.
By accessing or using the Site, you agree to these Terms, our Privacy Policy, and our Cookie Policy. If you do not agree, please do not use the Site.
1. Who May Use the Site
The Site is intended for business and professional audiences. By using the Site, you confirm that:
- if you use the Site on behalf of an organization, you are authorized to act for it, and these Terms bind it; and
- neither you nor any organization you represent is the subject or target of sanctions administered by the United States, the United Nations, the European Union, or the United Kingdom, or is acting on behalf of any person that is.
2. Acceptance and Records
We may ask you to confirm your acceptance of these Terms and our Privacy Policy before you submit an inquiry or complete the client intake. We keep a record of the date and the version of the Terms and Privacy Policy you accepted.
3. General Information Only; No Engagement; No Reliance
The Site provides general information about Rubinov Global and its practice areas. Content may be incomplete, may become outdated, and may not apply to your circumstances.
- Nothing on the Site is legal, tax, accounting, investment, securities, export-control, sanctions, or other professional or regulated advice.
- Nothing on the Site is an offer or solicitation to buy or sell any security, an offer to provide any service, or a promise of any result.
- Contacting us, submitting an inquiry, or completing the client intake does not create a client, advisory, fiduciary, attorney-client, agency, or other professional relationship.
- An engagement begins only after Rubinov Global has completed its review, accepted the engagement, and the parties have signed a written agreement.
- You agree that you have not relied, and will not rely, on any content on the Site in making any business, investment, legal, or other decision.

4. The Public Inquiry Form
- Use the inquiry form only for legitimate business inquiries, and provide accurate information.
- Do not send confidential or sensitive information through the inquiry form, including trade secrets, privileged material, government identification numbers, financial account or payment-card details, or health information.
- Never send classified information, controlled unclassified information, or technical data controlled under the International Traffic in Arms Regulations (ITAR) or the Export Administration Regulations (EAR) through any part of the Site. If a matter involves such information, tell us and we will arrange an appropriate method.
- By submitting information, you confirm that you have the right to share it and that doing so does not breach any law, contract, or duty of confidentiality.
- We may decline any inquiry without giving a reason.
No confidentiality or conflict from an inquiry. Information you send through the public inquiry form is not treated as confidential, other than as described in our Privacy Policy. Submitting an inquiry does not create a conflict of interest and does not prevent Rubinov Global from advising or acting for any other person, including your competitors or parties whose interests are adverse to yours.
Unsolicited ideas. If you send us ideas, proposals, or other material through the inquiry form, we may use them without any obligation to you, except as described in our Privacy Policy.
5. Private Client Intake
Rubinov Global may invite prospective clients to complete a private client intake. In addition to the rest of these Terms:
- Personal invitation. Invitation links are personal to the named recipient, may not be shared or forwarded, and expire on the date stated in the invitation. We may revoke a link at any time. Access requires verification of the invited email address; keep verification codes confidential.
- Confidentiality. Unlike the public inquiry form, information and documents you submit through the client intake are treated as confidential and handled as described in our Privacy Policy. We will not use or disclose them to advise or act for anyone else, even if we decline the engagement.
- Before a non-disclosure agreement. Where a non-circumvention and non-disclosure agreement (NCNDA) applies, it is sent separately so you can review it with your counsel. Do not submit confidential business information until the NCNDA has been signed, and follow the intake's instructions on which documents may be uploaded before then.
- Accuracy. You confirm that all information and documents you submit through the intake are true, complete, and accurate, and you agree to tell us promptly if anything changes. If any information proves to be false or misleading, Rubinov Global may end its review, or any resulting engagement, and you agree to indemnify the Rubinov Global Parties against any loss this causes.
- Use. Intake information is used to evaluate the potential engagement, including know-your-customer, anti-money-laundering, sanctions, and conflicts review.
- No obligation. Completing the intake does not oblige Rubinov Global to accept an engagement.
6. Acceptable Use
You agree not to:
- access or attempt to access any part of the Site, any account, or any system or data without authorization;
- interfere with or disrupt the security, operation, or availability of the Site, including by introducing malicious code;
- use bots, scrapers, or other automated means to access or collect content from the Site without our prior written consent, other than ordinary indexing by public search engines in accordance with our robots.txt file;
- use Site content to train artificial intelligence or machine-learning models;
- impersonate any person or misrepresent your affiliation with any person or organization; or
- use the Site in violation of any applicable law, including sanctions and export-control laws.
We may suspend or end your access to the Site at any time if we believe you have breached these Terms.
7. Intellectual Property
The Site and its content, including text, design, graphics, logos, and trademarks, are owned by Rubinov Global or its licensors and are protected by intellectual property laws. You may view, print, and download a reasonable number of pages for your own internal, non-commercial evaluation of Rubinov Global, provided you keep all proprietary notices. No other license or right is granted.
8. Third-Party Links, References, and Independent Activities
Links to third-party websites are provided for convenience only. We do not control, and are not responsible for, their content, security, or privacy practices.
A reference on the Site to any organization, project, government body, or individual does not imply an affiliation, endorsement, authorization, or continuing relationship unless we expressly say so.
Rubinov Global's partners may hold roles with, or ownership interests in, other businesses. Those businesses and activities are separate from Rubinov Global, are not conducted on its behalf, and are not its responsibility. Rubinov Global is not affiliated with any other company that uses the name "Rubinov" unless we expressly say so.
9. Fraud Warning
Rubinov Global will never request payment, send wiring instructions, or ask for passwords or account credentials through the Site, the inquiry form, or the client intake. If you receive such a request that appears to come from us, treat it as suspicious and verify it by calling us at a telephone number you already know to be ours before acting.
10. Electronic Communications
By contacting us or using the client intake, you consent to receive communications from us electronically, including by email. Notices, disclosures, and records we provide electronically satisfy any legal requirement that they be in writing. To the extent permitted by law, a typed-name declaration you submit through the client intake may be treated as your electronic signature.
11. Availability and Disclaimers
We may change, suspend, or discontinue any part of the Site at any time without notice. To the fullest extent permitted by law, the Site and its content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of accuracy, completeness, uninterrupted operation, merchantability, fitness for a particular purpose, or non-infringement. These disclaimers apply to all Rubinov Global Parties. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
12. Limitation of Liability
To the fullest extent permitted by law, none of the Rubinov Global Parties will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or business opportunity, arising from or related to your use of the Site. The total liability of all Rubinov Global Parties combined for all claims relating to the Site will not exceed US $100. No partner, member, manager, officer, employee, or agent of Rubinov Global will be personally liable for any claim relating to the Site.
These limitations do not apply where prohibited by law. Claims concerning services performed under a signed engagement agreement are governed by that agreement.
13. Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless the Rubinov Global Parties from third-party claims, and related reasonable costs, including attorneys' fees, arising from your unlawful use of the Site, your breach of these Terms, any false or misleading information you submit, or any material you submit in violation of another person's rights.
14. Governing Law, Venue, and Disputes
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Subject to applicable mandatory law and to any signed agreement that governs the dispute, the state and federal courts located in Palm Beach County, Florida, have exclusive jurisdiction over any dispute relating to the Site, and you consent to personal jurisdiction there.
Time limit for claims. Any claim relating to the Site must be brought within one year after it arises, or it is permanently barred, to the extent permitted by law.
Jury and class-action waiver. To the extent permitted by law, you and Rubinov Global each waive any right to a jury trial in any dispute relating to the Site, and agree that any such dispute will be brought only on an individual basis and not as part of any class, collective, or representative action.
Injunctive relief. Because misuse of the Site, including unauthorized access, scraping, or misuse of our content, may cause harm that money cannot adequately remedy, Rubinov Global may seek injunctive or other equitable relief in any court of competent jurisdiction without proving monetary damages.
15. Changes to These Terms
We may update these Terms by posting a revised version with a new effective date. Changes apply from the effective date and do not apply retroactively except where the law permits. Where a change is material, we may also give notice on the Site or by another appropriate method. We keep an archive of prior versions.
16. General
If any provision of these Terms is found unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, reorganization, or sale of our business. The Rubinov Global Parties other than Rubinov Global are intended third-party beneficiaries of the provisions of these Terms that protect them. Sections 3, 4, 5, 8, and 11 through 16 survive after you stop using the Site. These Terms, together with our Privacy Policy and Cookie Policy, are the entire agreement between you and Rubinov Global about the Site. Where these Terms conflict with a signed agreement between you and Rubinov Global, the signed agreement controls.
